1. Preamble & Introduction

These Terms and Conditions ("Agreement") govern the use of the vehicle inspection services ("Services") provided by Caravalla ("Service Provider," "we," "us," or "our") to you, the client ("Client," "you," or "your"). By ordering our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.

2. Definitions & Interpretation

• "Services" refers to the vehicle inspection services provided by Caravalla as described in Section 3.
• "Agreement" refers to these Terms and Conditions.
• "Service Provider" refers to Caravalla.
• "Client" refers to the individual or entity ordering the Services.
• "Report" refers to the vehicle inspection report, including any videos, images, and written summaries, provided to the Client after the inspection.

3. Scope of Services

Our Services consist of a visual inspection of a vehicle at an auction site. The inspection includes, but is not limited to, the following checks:

• 4K video scan of the interior, exterior, under-hood, and undercarriage.
• Analysis of prior repairs, including detection of paint puddles, detached screws, and modifications.
• Inspection of tire manufacturing year and body geometry.
• Check for unusual smells, rust, mold, and other contaminants.
• Verification of the presence of the catalytic converter (for gas and hybrid vehicles).

Exclusions: The Services do not include:

• Dismantling or removal of any vehicle components.
• Inspection of internal engine or transmission components.
• Brake lining and pad inspection.
• Any check that requires the use of diagnostic equipment.
• A road test of the vehicle.

The Report is a snapshot of the vehicle's condition at the time of inspection and is not a guarantee of its future condition.

4. Client Obligations

The Client agrees to:

• Provide accurate and complete information when ordering the Services, including the correct lot number and vehicle details.
• Ensure that they have the legal right to order an inspection of the specified vehicle.
• Use a valid payment method for which they are an authorized user.
• Not use our Services or Report for any illegal or fraudulent activities.

5. Payment Terms

• The fees for our Services are as listed on our website at the time of ordering.
• All fees are payable in advance.
• We accept payment by credit card and other methods as indicated on our website.
• All prices are exclusive of any applicable taxes.

6. Warranties and Disclaimers

The Services and the Report are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of the Report. We disclaim all warranties, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose. We do not warrant that our website or Services will be uninterrupted or error-free.

7. Limitation of Liability and Indemnity

To the fullest extent permitted by law, Caravalla shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use, or alteration of your transmissions or content.

You agree to indemnify and hold harmless Caravalla and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of this Agreement.

8. Intellectual Property Rights

All content included in or made available through our Services, such as text, graphics, logos, images, and software, is the property of Caravalla or its content suppliers and is protected by international copyright laws. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without express written permission by us.

9. Data Protection and Privacy (UK GDPR)

We are committed to protecting your personal data. Our collection and use of your personal information in connection with your access to and use of the Services is described in our Privacy Policy, which is incorporated by reference into this Agreement. 10. Termination of Agreement

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach this Agreement. Upon termination, your right to use the Services will immediately cease.

11. Dispute Resolution and Governing Law

This Agreement shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration in London, United Kingdom.
